Draft for legal review. Written to match how UP works today. Text in [brackets] is filled in before launch.
Terms of use
These terms are an agreement between you and [UP operator: legal name, company number and registered address] (“UP”, “we”). By using UP’s website or apps you agree to them. If you do not agree, please do not use UP.
1. What UP is
UP is an AI assistant. It answers questions using exact tools (for example maths, units, dates, currency, tax, nutrition, places and a dictionary), reference data from public sources, and AI language models. It shows how answers were made and checks some statements with code.
2. Using UP sensibly
- AI answers can be wrong, incomplete or out of date, even when checked. Use your own judgement and check anything important.
- UP does not give professional advice. Health, legal, tax and financial answers are general information, not advice for your situation.
- UP is not an emergency service. If someone may be in danger, call your local emergency number. UP’s first-aid guidance is a help while you wait, not a replacement.
- Tax, currency and other figures depend on sources that change; UP shows the source and date so you can check them.
3. Your account
You must be 13 or older, or older where your country requires it (16 in some EU countries) unless a parent or guardian agrees. Keep your password safe; you are responsible for what happens under your account. You can delete your account at any time from your account page.
4. What you can and cannot do
Follow the acceptable use policy. In short: do not use UP to harm people, break the law, attack systems, or deceive others.
5. Your content
You own what you type and upload. You give UP permission to process it to answer you. If you leave “help UP learn” on, you also allow UP to use your rated answers and anonymised tool records to improve UP’s own models, as described in the privacy policy. Content you choose to share with the community (“contribute”) is published under the licence you pick when you share it.
6. UP Pro
UP Pro is a monthly subscription that renews until you cancel. On the website and Android it is billed by Stripe; on iPhone and iPad by Apple, under Apple’s terms. Prices are shown before you buy. You can cancel at any time and keep Pro until the end of the paid period. If you are a consumer in the UK or EU you may cancel within 14 days of first subscribing for a refund, unless you have already used Pro’s extra allowance. Daily allowances may change with notice.
7. Credits
Credits for contributions are a planned feature and shown as samples. They have no cash value until the credits programme launches with its own rules.
8. Availability and changes
We work to keep UP available but cannot promise it will always be. We may change or stop features; if a change materially affects Pro, we will tell you and you may cancel. We may update these terms; we will show the new version and ask you to accept material changes.
9. Liability
Nothing in these terms limits liability that cannot legally be limited, including for death or personal injury caused by negligence, or fraud. Otherwise, UP is provided “as is” and, to the extent the law allows, we are not liable for indirect losses or for decisions made on the basis of UP’s answers. [Liability cap and consumer-law wording to be confirmed by counsel for each launch country.]
10. Ending
You can stop using UP and delete your account at any time. We may suspend accounts that break these terms or put others at risk.
11. Law
These terms are governed by the law of [England and Wales]. If you are a consumer, you keep the protection of the mandatory laws of the country where you live and may bring claims there.
